Ticket Sales Terms & Conditions
1. GRANT OF RIGHTS

- The Promoter/Venue grants the Agent all rights to a sell Event tickets to the Event(s) online through lincolnboxoffice.co.uk and promote the Event(s) through multiple online and offline platforms.
2. DEFINITION OF EVENT
-
- The Promoter/Venue is hosting an Event that has (or series of Events that have) a specified location in Lincolnshire, start date and time and end date and time and require Event ticket(s) to be purchased in advance by attendees. The term Event(s) within this agreement also includes the entrance to a paid attraction or tour.
3. EVENT DETAILS
-
- Details of the Event(s) ticket price(s), start date, end date, start time, end time, location, category, full description, and any promotional imagery is required to be supplied by the Promoter/Venue to the Agent no later than three weeks before the expected sale of tickets (Using this online form: lincolnboxoffice.co.uk/listmyevent).
- Once the Event(s) ticket are live on the Lincs Box Office website, the Promoter/Venue is required to inform the Agent of any changes to the details or imagery of the Event(s), to ensure that consistent and correct information is passed to the attendees.
- The Promoter/Venue understands that supplying the Agent with false or incorrect information about the Event(s) opening times, fees, location and services may also incur an amendment fee (see clause 9).
4. EVENT TICKET PRICING

- The Promoter/Venue agrees that the Event ticket price for the listed Event(s) will be the same across all points of sale external to Lincs Box Office.
- To enable all Event tickets to be sold at a consistent price across all platforms, the Promoter/Venue agrees to allocate the concession priced Event tickets (where applicable) to the Agent.
- The Promoter/Venue agrees to allow the Agent to add discounts and run promotional offers on any Event ticket, at no additional cost or loss to the Promoter/Venue.
- The Agent will charge ticket buyers an additional £1.00 non-refundable booking fee per transaction regardless of the payment method or payment channel. The Agent reserves the right to alter these fees to comply with any new legislation, at any time.
5. AGENT TICKET ALLOCATION

- The Promoter/Venue agrees to provide an initial allocation of a minimum of 20 percent of the Event’s total capacity to the Agent for sale through the Lincs Box Office website.
- After the Agent has sold the initial allocation of Event tickets, the Promoter/Venue agrees to provide an additional and reoccurring 10 percent of the Event’s remaining tickets, until the entire Event is sold out.
- The Promoter/Venue will allocate all and any Event tickets to the Agent at the concession price if available.
- All or any complimentary Event tickets will be deducted from the Promoter/Venue’s ticket allocation only.
6. UNSOLD EVENT TICKETS

- The Agent agrees that, upon request by the Promote/Venue, any unsold Event tickets will be returned to the Promoter/Venue for re-sale within seven days of the Event’s start date and time.
- All Event ticket requests from the Promoter/Venue to the Agent must be made by a nominated contact within the Promoter/Venue’s organisation and confirmed in writing, either by letter or email.
- If the Promoter/Venue has not requested the return of any un-sold event tickets, the Agent will continue to advertise the sale of Event tickets until one hour before the scheduled start time of the Event.
7. FEES AND AGENT COMMISSION

- The Agent will charge the Promoter/Venue a one-time Event listing set-up fee, per Event, of £25.00 plus VAT at the current rate.
- The Agent will be entitled to a commission on all Event tickets the Agent sells online through the Lincs Box Office website, a minimum of £2.00 per ticket plus VAT at the current rate will be added to the agreed ticket sale price.
- Should the total amount of commissions received by the Agent from any Event ticket sales exceed £25.00 (equivalent to 13 Event tickets based on a minimum of £2 per ticket), then the £25.00 set-up fee will be itemised on the final sales report and reimbursed on the final statement.
8. MARKETING AND SALES

- Upon agreement of Event ticket sales through the Agent, the Promoter/Venue agrees to publicise Lincs Box Office as an official event ticket agent for the Event(s), using the information supplied in by the Agent on the relevant online/print marketing platforms.
- The Agent will include information about the Event and Promoter/Venue in any marketing communications that the Promoter/Venue has additionally opted for from the Event Advertising Opportunities.
- The Agent will be responsible for maintaining adequate staffing levels to cover the workflow generated in selling Event tickets on behalf of the Promoter/Venue.
- The Agent will provide an online and telephone help facility through the Lincs Box Office website for the Event(s) during the hours of 12.00 and 15.00 (GMT), Monday to Friday. Any queries outside of these timings can be sent via email and will be answered by the Agent promptly.
- In the event where any technical errors cause website failure, the Agent will endeavour to restore faults promptly. However, the Agent will not be liable for any perceived loss in sales during this time.
- The Agent will not offer a resale service to ticket buyers once a ticket has been purchased online through the Lincs Box Office Website.
9. ALTERATIONS, CANCELLATIONS OR DELAY OF EVENT(S)

- The Promoter/Venue agrees that any subsequent alterations to any significant detail of the Event(s) or imagery, once live on the Lincs Box Office Website, will incur a £10.00 plus VAT charge.
- In the event where part of or the entirety of the Event is cancelled, postponed or delayed, the Agent will process any amendments to the Event listing at £2.00 per ticket plus VAT (at the current rate) which is payable by the Promoter/Venue.
- Any transaction fees that incur from processing a refund of Event(s) tickets to the customer, at the instruction of the Promoter/Venue, will also be charged to the Promoter/Venue and itemised on the final sales report.
- Any alteration charges will be itemised and deducted from the final sales report supplied by the Agent.
10. SALES REPORTS AND INVOICING

- The Agent will maintain and supply a record of all Event ticket sales to the Promoter/Venue regularly and in strictest confidence.
- The Agent will provide the Promoter/Venue with a final sales report, including all sales made through the Lincs Box Office website within two working days of the Event end date and time.
- The final sales report will include all Event ticket sales made by the Agent plus any additional charges or deductions as per clause 9.
- The Promoter/Venue will be invoiced should the commission the Agent received from the Event(s) does not meet any of the accrued charges (see clause 7).
- The Agent is required to pay all monies arising from any Event ticket sales less the Agent’s commission within five working days of confirmation from the Promoter/Venue having received the final sales report statement from the Agent.
- Any overseas payments made to the Promoter/Venue by the Agent will have any associated charges in making this form of payment deducted from the total amount owed.
- A reserve from the payment made by the Agent (acting reasonably) may be retained if the Agent believes that a further refund or liability will occur outside of the contracted settlement period.
- When the Agent passes the monies arising from the ticket sales to the Promoter/Venue, the Agent will retain the Agent’s commission and will submit a final statement detailing this amount. Payment is to be made by BACs. Details to be supplier by the Agent.
11. The Promoter/Venue will indemnify the Agent against any demands, claims, actions, costs (including legal fees) or damages arising out of or in connection with the commitments imposed affecting third parties but not in respect of the consequences of any failure in the Agents performance of its duties hereby undertaken.
12. Any prevention or interruption due to any matter or event outside the parties’ control which prevents either of the parties hereto from performing its obligations thereunder shall not be a breach of this agreement.
